These Terms and Conditions ("Terms") govern your access to and use of the services provided by VGT Enviornmental Compliance Solutions ("VGT," "we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using our services.

1. Services:

1.1. VGT provides laboratory testing, consultancy, and related services in the field of environmental analysis and consulting.

1.2. All services provided by VGT are subject to availability and applicable laws and regulations.

2. Client Responsibilities:

2.1. Accuracy of Information: You agree to provide accurate and complete information to VGT when using our services, including but not limited to sample information, contact details, and any other required data.

2.2. Compliance with Laws: You agree to comply with all applicable laws and regulations when using our services, including laws related to the collection, transportation, and handling of samples.

2.3. Sample Collection and Transportation: If you are responsible for collecting and transporting samples to VGT, you agree to follow proper sampling protocols and ensure the integrity and safety of the samples during transportation.

3. Confidentiality:

3.1. VGT recognises the confidential nature of the information provided by clients. We will maintain the confidentiality of all client information and use it solely for the purpose of providing the requested services, except as required by law or with the client's consent.

3.2. VGT shall take reasonable measures to protect the confidentiality and security of client information. However, VGT cannot guarantee the absolute security of data transmitted or stored electronically.

4. Payments and Invoicing:

4.1. Fees: You agree to pay the fees associated with the services provided by VGT, as outlined in the applicable pricing agreement or as communicated to you.

4.2. Invoicing and Payment Terms: Invoices shall be issued to you in accordance with the agreed payment terms. Payment should be made within the specified time frame mentioned on the invoice. Late payments may incur interest or penalties as outlined in the pricing agreement or as permitted by law.

4.3. Disputes: In case of a dispute regarding fees or invoices, you agree to promptly notify VGT in writing, providing all relevant details. VGT will investigate the matter and work towards resolving the dispute in a fair and timely manner.

5. Intellectual Property:

5.1. VGT retains all intellectual property rights in any reports, analyses, data, or other materials generated as a result of our services, including but not limited to laboratory test results and consultancy reports.

5.2. Unless expressly authorised in writing by VGT, you may not use, reproduce, distribute, modify, or create derivative works based on our intellectual property.

6. Limitation of Liability:

6.1. VGT shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of our services, including but not limited to loss of profits, data, or business opportunities.

6.2. You agree that the total liability of VGT, whether in contract, tort, or otherwise, shall be limited to the amount you paid for the specific services giving rise to the claim.

7. Termination:

7.1. Either party may terminate the provision of services by providing written notice to the other party.

7.2. Upon termination, you shall be responsible for any outstanding fees or costs incurred before the termination date.

8. Governing Law and Jurisdiction:

8.1. These Terms shall be governed by and construed in accordance with NSW law. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of NSW.

9. Amendments:

9.1. We reserve the right to modify or update these Terms at any time. Any material changes will be communicated to you through our website or other appropriate means. Your continued use of our services after such time will convey acceptance of the most current terms. 

10. Entire Agreement:

10.1. These Terms constitute the entire agreement between VGT and the client and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
